This agreement is between you and Zakaria Reziki, trading as Cuey ("we", "us"). It covers the Cuey app for macOS, including the Free tier, the trial and Cuey Pro. By installing or using Cuey, you agree to it. It forms part of our Terms of Service.
1. License grant
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Cuey, subject to this agreement. The Free tier and the 2-day trial are free of charge. Cuey Pro features are available once you buy a license and activate it with your license key.
2. Permitted installations
- One Cuey Pro license is for one individual.
- You may use it on the Macs you personally use, up to 5 Macs at a time.
- Deactivating an old Mac frees a slot. For now, contact support to deactivate a Mac.
- If a business buys Cuey Pro, it needs one license for each person who uses it.
To enforce these limits, the app records a hashed identifier for each activated Mac and receives a signed license token. The token works offline for up to 30 days, after which the app must check online again. If a license is refunded or revoked, the app returns to the Free tier.
3. Ownership
Cuey is licensed, not sold. We and our licensors keep all rights, title and interest in Cuey, including its code, design, name and logo. You own the scripts you create with Cuey.
4. Restrictions
You may not:
- share, sell, rent, lend, sublicense or transfer your license or license key;
- use one license for more people, or more Macs at a time, than section 2 allows;
- remove, disable or get around license checks or other technical protections;
- modify Cuey, or distribute modified or unmodified copies of it;
- remove copyright or other notices from Cuey;
- use Cuey in violation of any law.
5. Reverse engineering
You may not decompile, disassemble or reverse engineer Cuey, except to the extent the applicable law expressly permits it despite this restriction.
6. Third-party components
Cuey includes components from third parties, such as the Sparkle update framework in the direct-download edition. Those components are licensed under their own terms, which apply to them.
To confirm: Compile the list of open-source components and their licenses (with required notices) from the app build.7. Updates
Cuey Pro includes all 1.x updates. We may release a future major version as a paid upgrade, but we don't promise any particular future version or feature. Updates are covered by this agreement unless they come with their own terms.
To confirm: Founder to confirm the upgrade policy and whether older versions keep working after a new major release.8. Termination
This agreement lasts until it ends. You can end it at any time by deleting Cuey. We may end your Cuey Pro license if you seriously breach this agreement. After a refund or chargeback, Cuey Pro is deactivated. When the agreement ends, stop using the features it covers. Your scripts and settings stay on your Mac.
9. Warranty disclaimer
To the extent the law allows, Cuey is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that Cuey will be error-free, that it will work without interruption, or that speech recognition will always be accurate. You may have statutory rights that can't be excluded; this section doesn't affect them.
10. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability under this agreement is limited to the amount you paid for Cuey Pro in the 12 months before the claim. Nothing here limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.

If you got Cuey from the Mac App Store, Apple's Licensed Application End User License Agreement applies, unless we provide a custom agreement through the App Store.

This agreement is governed by the laws of [GOVERNING LAW / JURISDICTION]. If you are a consumer, you keep the protection of the mandatory laws of the country where you live.
